Field Office is a business operations platform. It is not a law firm, accountant, tax preparer, collection agency, lender, insurer, engineering firm, emergency service, employer, or general contractor. It does not guarantee a contract, filing, payment, schedule, diagnosis, inventory count, or business result.
1. Agreement and business authority
By creating an account, accepting an order form, or using the Services, you agree to these Terms, the Privacy Notice, the AI & Communications Policy, and the Acceptable Use Policy. If you act for a company, you represent that you have authority to bind it. The Services are offered for lawful business use by adults, not personal, family, or household use.
2. What Field Office provides
Field Office provides software that can capture communications, organize customer and job records, prepare drafts, suggest actions, coordinate schedules, create documents, track invoices and assets, and transmit owner-approved instructions through connected providers. Features may be labeled draft, suggested, awaiting approval, approved, sent, filed, paid, or completed. Those labels have different meanings; an approval or draft is not proof that an outside action occurred.
3. Your account and instructions
You are responsible for authorized users, secure credentials, accurate configuration, permissions, and all instructions submitted through your account. You must promptly remove access for departed workers and report suspected unauthorized access. Field Office may rely on approvals and instructions that reasonably appear to come from your account.
4. AI output and owner review
AI output may be incomplete, inaccurate, outdated, or unsuitable for a particular job. You must review consequential output before relying on it, including prices, scopes, diagnoses, safety guidance, customer commitments, legal deadlines, tax treatment, payroll, purchases, and filings. Approval controls assist review but do not transfer responsibility for the decision to Field Office.
5. Quotes, contracts, invoices, and payment plans
Templates and generated documents are administrative drafts, not legal advice. You decide the parties, scope, price, disclosures, warranty, payment terms, change orders, cancellation rights, signatures, and legally required notices. You are solely responsible for contractor and trade licensing, home-improvement contract rules, consumer financing rules, and enforceability. Field Office is not a party to agreements between you and your customer and does not guarantee signature, enforceability, performance, payment, or recovery.
6. Payments and invoice collection
Unless an order form expressly states otherwise, Field Office does not receive, hold, transmit, or insure customer funds and is not the merchant of record. Connected banks and processors control settlement, reversals, disputes, chargebacks, fees, and availability. Invoice status is an operational record, not independent proof that money is owed or received.
You must verify the debtor, balance, due date, authority, consent, dispute status, bankruptcy status, and applicable law before sending a reminder. Field Office provides administrative reminders for your own receivables; it does not provide legal collection services. You may not use Field Office to harass, deceive, shame, threaten action you do not intend or lack authority to take, contact impermissible third parties, or pursue a disputed or discharged debt unlawfully.
7. Liens, permits, taxes, payroll, and regulated work
Deadline calculations, lien packets, permit forms, expense categories, time records, and tax summaries are drafts and organizational aids. Laws and local practices change and may depend on facts the Services cannot determine. You are responsible for verification by qualified counsel, accountants, payroll professionals, engineers, permit expediters, or licensing authorities before acting. Field Office does not perfect lien rights, file a permit, submit a tax return, run payroll, or make a legal determination unless the interface confirms completion through an expressly supported provider.
8. Calls, messages, email, and recordings
You are the initiator or sender of communications made for your business. You must supply required notices, obtain and document consent, honor revocation and opt-out requests, maintain suppression lists, and comply with recording, telemarketing, texting, email, privacy, and industry-specific rules. You must not disable disclosures where they are legally required. See the AI & Communications Policy.
9. Employees, vehicles, tools, and jobsite information
You are solely responsible for wage-and-hour compliance, payroll, worker classification, workplace notices and consent, reimbursement, vehicle and location monitoring, labor relations, safety, supervision, and employment decisions. Inventory, RFID, camera, GPS, and tool-location information may be delayed or wrong and is not a substitute for physical controls, insurance, safety procedures, or a police report.
10. Professional and emergency limitations
Do not use the Services as the sole system for emergencies, life safety, medical decisions, gas leaks, fire, carbon monoxide, electrical hazards, dispatch guarantees, or code compliance. Maintain human escalation and emergency procedures. Diagnostic suggestions are not a substitute for an appropriately licensed professional inspecting the site.
11. Connected services
Third-party services are governed by their own terms, privacy practices, availability, and fees. Field Office is not responsible for a carrier, bank, processor, marketplace, cloud provider, government portal, or vendor rejecting, delaying, losing, reversing, or misprocessing an instruction. You authorize Field Office to exchange data with providers you connect as needed to perform your instructions.
12. Fees, trials, and taxes
Plan fees, usage allowances, renewal terms, and any pass-through costs appear on the applicable order form or pricing page. Trials may be limited to one per substantially similar business and may have reduced functionality. Except where law or an order form requires otherwise, fees are nonrefundable. You are responsible for applicable taxes other than taxes on Field Office’s income.
13. Customer data
You retain rights in data you submit. You grant Field Office a limited right to host, copy, transmit, transform, and otherwise process that data to provide, secure, support, and improve the Services as described in the Privacy Notice. You represent that you have lawful authority to provide the data and instructions. Do not upload data the Services are not configured or contractually approved to handle.
14. Ownership
Field Office and its licensors retain all rights in the Services, software, designs, models, documentation, and aggregated or de-identified operational insights. No rights are granted except the limited, nonexclusive, nontransferable right to use the Services during your subscription. Feedback may be used without restriction or payment, without identifying you publicly.
15. Suspension and termination
We may limit or suspend access to prevent harm, investigate misuse, comply with law, address nonpayment, or protect the Services. You may stop using the Services at any time, subject to your order form. On termination, your right to use the Services ends. Provisions concerning ownership, payment, disclaimers, liability, indemnity, and disputes survive.
16. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” FIELD OFFICE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. FIELD OFFICE DOES NOT WARRANT THAT THE SERVICES WILL PREVENT LOST LEADS, MISSED DEADLINES, THEFT, NONPAYMENT, DAMAGE, OR LEGAL LIABILITY.
17. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIELD OFFICE AND ITS AFFILIATES, PERSONNEL, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOST REVENUE, PROFITS, DATA, GOODWILL, OR BUSINESS; CUSTOMER NONPAYMENT; CONTRACT OR FILING FAILURE; EMPLOYMENT CLAIMS; OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.
FIELD OFFICE’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO FIELD OFFICE FOR THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. These limits apply across all theories of liability and do not limit liability that cannot lawfully be limited.
18. Indemnity
You will defend, indemnify, and hold harmless Field Office and its affiliates, personnel, and suppliers from third-party claims, losses, penalties, damages, and reasonable legal fees arising from your customer work; contracts, quotes, invoices, collections, liens, permits, taxes, payroll, employment practices, communications, recordings, surveillance, purchases, professional advice, legal violations, Customer Data, account users, or breach of these Terms. Field Office will provide reasonable notice and cooperation, and you may not settle a claim in a way that admits fault by or imposes obligations on Field Office without written consent.
19. Disputes and governing law
Before filing a claim, each party will give written notice and try in good faith for 30 days to resolve it. These Terms are governed by California law, without regard to conflict-of-laws rules. Unless an applicable order form states a valid alternative, exclusive venue lies in the state or federal courts serving the county of Field Office’s principal place of business. Nothing prevents either party from seeking urgent injunctive relief or using small-claims court where eligible.
20. Changes and general terms
We may update these Terms. Material changes will be communicated through the Services or account contact and apply prospectively on the stated effective date. If a provision is unenforceable, it will be modified only as needed and the rest remains effective. Failure to enforce a term is not a waiver. You may not assign these Terms without written consent; Field Office may assign them with a merger, financing, reorganization, or sale of the business. These Terms and any order form are the complete agreement, with the order form controlling in a direct conflict.
21. Notices
Legal notices to Field Office must be sent to the legal contact identified on your order form or in your account. Field Office may send notices to your account email or through the Services. Before commercial launch, the operator’s full legal name and notice address must be included in every order form.
